Terms of Service
These Terms of Service ("Terms") govern access to and use of the Crediaalliance platform, related services, documentation and materials (collectively, the "Service") operated by Norwood Warehouse Holdings LLC ("Crediaalliance", "we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
The Service is offered exclusively to institutional investors, registered investment advisers, family offices, sponsors and their authorized representatives. By using the Service, you represent that you are acting in a professional capacity and that you have the authority to bind the entity you represent.
2. Accounts
Access to certain portions of the Service requires a registered account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.
2.1 User obligations
- Provide accurate, current information at registration and keep it up to date.
- Do not share credentials or grant access to unauthorized personnel.
- Comply with all applicable federal, state and local laws in connection with your use.
3. Acceptable use
You agree not to (a) reverse-engineer, decompile or attempt to derive source code from the Service; (b) resell, sublicense or redistribute Service outputs without prior written consent; (c) interfere with the integrity, performance or security of the Service; or (d) use the Service to infringe any third-party intellectual property or privacy rights.
4. Data
The Service aggregates data from licensed third-party providers, public records and proprietary sources. Analytical outputs are provided for informational purposes and do not constitute investment advice, an offer to sell or a solicitation to buy any security or interest.
5. Intellectual property
All right, title and interest in the Service — including the underlying data models, benchmarks, algorithms, code and documentation — are and remain the exclusive property of Norwood Warehouse Holdings LLC and its licensors. Nothing in these Terms transfers any such rights to you.
6. Confidentiality
Non-public information you receive through the Service (including benchmarks, methodologies and any custom outputs) is confidential. You will use such information solely for internal purposes and will not disclose it to third parties, other than to your professional advisers on a need-to-know basis.
7. Fees and billing
Fees, billing cycles and payment terms are specified in the order form or subscription agreement executed between you and Crediaalliance. All fees are non-refundable except as expressly stated. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
8. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, Crediaalliance disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components.
Analytical outputs reflect models applied to available data at the time of computation. Actual outcomes may differ materially. You are solely responsible for investment decisions made in reliance on any output.
9. Limitation of liability
To the maximum extent permitted by law, in no event will Crediaalliance's aggregate liability arising out of or related to these Terms exceed the fees paid by you to Crediaalliance in the twelve (12) months preceding the event giving rise to the claim. In no event will Crediaalliance be liable for indirect, incidental, consequential, exemplary or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
10. Indemnification
You agree to defend, indemnify and hold harmless Crediaalliance and its officers, directors, employees and affiliates from any claim, loss or expense (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Service.
11. Term and termination
These Terms apply for so long as you access the Service. Either party may terminate a paid subscription in accordance with the applicable order form. We may suspend or terminate access immediately for material breach or if required by applicable law.
12. Governing law and disputes
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Jackson County, Missouri, for any dispute arising out of or related to these Terms.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or through a notice on the Service. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.
